Welcome to AskScout.ai ("AskScout," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the AskScout platform, including our website at askscout.ai, our AI-powered prospecting tools, network analysis features, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you ("you," "User," or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to that organization.

AskScout.ai is part of Vinly Technology ("Vinly"), which is the parent company of AskScout and the legal entity responsible for operating the Service.

1. Definitions

• Account means the user account you create to access the Service.
• Authorized Users means individuals within your organization whom you invite to join your AskScout workspace.
• Connected Accounts means third-party accounts (including Google Workspace and LinkedIn accounts) that you authorize AskScout to access.
• Customer Data means all data, content, and information that you or your Authorized Users upload or submit to the Service, including data from Connected Accounts.
• Network Graph means the representation of your professional relationships generated by the Service.
• Prospect Intelligence means the information gathered by the Service about potential business prospects.
• Service means the AskScout.ai platform, including all related functionality.

2. Description of the Service

AskScout is a B2B prospecting platform that combines AI-powered web research with professional network analysis to help users identify and connect with potential business prospects through warm introductions. The Service includes the following core capabilities:

• AI Chat Interface: Search the web in real-time based on an Ideal Customer Profile.
• Network Graph Analysis: Analyze your Gmail messages, Google Calendar events, and Contacts to build a network graph.
• Team Network Search: Enable searches across your entire organization's professional relationships.
• Warm Introduction Facilitation: Draft introduction request emails for review and approval.
• Hybrid Search: Choose between network-only, web-only, or combined search options.

3. Account Registration and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. To create an Account, you must provide accurate registration information and maintain its confidentiality.

You may invite Authorized Users to your workspace, ensuring their compliance with these Terms.

4. Google API Integration and Scopes

4.1 Scopes Requested

To provide network analysis, AskScout requests access to the following Google API scopes:

• Gmail (Read-Only): Analyzes email metadata for insights on your network graph without storing body content.
• Gmail (Send): Exclusively sends approved warm introduction emails.
• Google Contacts (Read-Only): Maps your professional contacts for network graph construction.
• Google Calendar (Read-Only): Analyzes meeting history to determine relationship strength.

4.2 Google API Services User Data Policy Compliance

AskScout adheres to Google's User Data Policy:

• It only uses Google user data to improve user-facing features.
• It does not transfer Google user data to third parties without necessity.

4.3 Revoking Access

You can revoke AskScout's access to your Google account from your Google Account settings at any time.

5. LinkedIn Integration via Unipile

5.1 Overview

AskScout offers LinkedIn outreach features through Unipile.

5.2 How It Works

Connecting your LinkedIn account allows Unipile to act on your behalf.

5.3 Rate Limits and Account Safety

LinkedIn enforces limits on automated actions; exceeding them may result in account restrictions.

5.4 Your Responsibilities

You must use only your genuine LinkedIn account, comply with LinkedIn's terms, and not send unsolicited messages.

5.5 Unipile's Role and Privacy

Unipile is a third-party service provider that processes LinkedIn data for integration.

5.6 Disconnecting

You can disconnect your LinkedIn account at any time from the AskScout Integrations page.

6. User Obligations and Acceptable Use

You agree to use the Service only for lawful business purposes, adhering to all applicable laws and regulations.

7. Data Ownership and Intellectual Property

7.1 Your Data

You retain all rights to your Customer Data while granting AskScout a license for processing to improve the Service.

7.2 Our Intellectual Property

AskScout retains intellectual property rights to the Service, including software and algorithms.

7.3 Feedback

Feedback provided grants AskScout the license to use it for any purpose.

8. Explicit Data Use Restrictions

AskScout commits to not using Customer Data for AI training, sales, or advertising.

9. Subscription Plans, Billing, and Payments

9.1 Plans and Pricing

The Service is available through subscription plans outlined on our pricing page.

9.2 Billing

Subscriptions are billed in advance; fees are non-refundable.

9.3 Free Trial

A free trial may be offered, converting to a paid plan unless cancelled before expiration.

9.4 Taxes

You are responsible for applicable taxes arising from your use of the Service.

10. Team Features and Authorized User Consent

Team members must independently authenticate and grant OAuth consent for their Google data.

11. Data Retention and Deletion

Your Customer Data is retained only as necessary to provide the Service and deleted upon termination.

12. Service Availability and Disclaimer

The Service is provided "AS IS" without warranties of any kind, and you are responsible for verifying information.

13. Limitation of Liability

AskScout's liability is limited to amounts paid in the twelve months preceding a claim.

14. Indemnification

You agree to indemnify AskScout against any claims arising from your use of the Service.

15. Termination

You may terminate your Account at any time. AskScout may also terminate your Account for breaches of these Terms.

16. Dispute Resolution and Arbitration

Disputes will be resolved through negotiation and, if not settled, through binding arbitration.

17. Governing Law

These Terms are governed by the laws of the State of Delaware.

These Terms constitute the entire agreement between you and AskScout regarding the Service.
